Shareholders are advised that NEPI Rockcastle is in negotiations to acquire Magnolia Park (‘Magnolia’ or
‘the Property’), a shopping centre in Wroclaw, Poland (the ‘Potential Acquisition’).Magnolia is a 100,000 m2 gross lettable area shopping center, situated in Wroclaw, the third largest city in
Poland by population, with over 670,000 inhabitants and enjoys a strategic location in the city, with excellent
visibility and easy access. The Property has experienced outstanding operational performance and is well
positioned for future growth, both organically and through further value enhancement.The Potential Acquisition remains subject to the execution of formal written agreements, which is expected
to occur in the coming weeks. If formal written agreements are executed, the resultant transaction will
constitute a category 2 transaction for the purposes of the JSE Listings Requirements. This will necessitate the
publication of a category 2 transaction announcement (in compliance with JSE Listings Requirements);
however, the implementation of the Potential Acquisition will not require shareholder approval.Shareholders will be updated on the Potential Acquisition in due course.
